Terms of Service

These Terms of Service ("Terms") govern your use of Grocery Fresh Chef (the "Service"), operated by Upper Hand Integrations, LLC ("we," "our," or "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

The short version: we help you build a weekly meal plan around real store sale prices and, if you choose, add the ingredients to your real Kroger-family-store cart. We're not Kroger, we're not your doctor or dietitian, and the recipes and prices we generate are our best effort, not a guarantee — please review your cart and any dietary concerns yourself before checking out or cooking.

1. Description of Service

Grocery Fresh Chef finds sale prices at your nearest participating grocery store, generates AI-assisted meal plans built around those prices, and, with your authorization, adds the resulting ingredients to your real cart at that store. Your first meal plan is free; continued use requires an active subscription.

2. Eligibility & Your Account

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account, since doing so may involve real purchases and a paid subscription.
You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate information (including dietary needs and preferences) when using the Service.

3. Subscription & Payment

New accounts receive a limited number of free meal plans. Continued use beyond that requires a paid subscription.
Subscriptions are billed on a recurring basis and renew automatically until cancelled. If you subscribe through our website, billing is handled by our payment processor, Stripe. If you subscribe through our iOS app, billing is handled by Apple through your Apple ID account, and that purchase is also subject to Apple's own Media Services Terms and Conditions.
You can cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and we do not provide prorated refunds for partial periods except where required by law. A subscription purchased through our website can be cancelled from your account settings on our site. A subscription purchased through our iOS app must be cancelled through your Apple ID account settings (Settings › [your name] › Subscriptions on your device) — we do not have the ability to cancel or issue refunds for App Store purchases; refund requests for those must go through Apple.
We may change subscription pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new price.

4. Your Kroger Account Connection

We are not Kroger. Grocery Fresh Chef is an independent service and is not affiliated with, endorsed by, or sponsored by Kroger Co. or any of its family-of-stores banners.
Connecting your Kroger account is optional and happens through Kroger's own login page — we never see or store your Kroger password.
Your use of your Kroger account, and any purchase you complete at checkout on Kroger's site or app, is governed by Kroger's own terms of service, not these Terms.
You can revoke our access to your Kroger account at any time from your Kroger account settings.

5. Meal Plans, Recipes & Dietary Information

Meal plans and recipes are generated by AI based on the preferences you provide and are intended as helpful suggestions, not professional advice.
Grocery Fresh Chef is not a substitute for medical, nutritional, or dietary advice. If you or anyone eating the meal has a food allergy or a medical dietary restriction, independently verify every ingredient and preparation step before cooking or eating — do not rely solely on the "dietary needs" setting.
We do our best to honor stated dietary preferences, but we cannot guarantee a recipe is free of any specific allergen or ingredient.

6. Pricing & Cart Accuracy

Sale prices and savings figures are based on data available at the time your plan is generated and may change before you check out.
Ingredient-to-product matching for your cart is automated and best-effort; occasionally an item may be mismatched, unavailable, or need manual selection.
Always review your cart before completing checkout on Kroger's site. We are not responsible for pricing discrepancies, out-of-stock items, or purchases you complete.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of Kroger's or any other third party's terms of service.
Attempt to circumvent the free-plan limit through multiple accounts or other means.
Scrape, reverse-engineer, or resell access to the Service.
Interfere with or disrupt the integrity or performance of the Service.

8. Intellectual Property

The Service, including its design, branding, and underlying software, is owned by Grocery Fresh Chef. Meal plans generated for your account are yours to use for your own personal, non-commercial purposes.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that every price, match, or recipe will be perfectly accurate.

10. Limitation of Liability

To the fullest extent permitted by law, Grocery Fresh Chef will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to pricing errors, cart mismatches, dietary or allergen issues, or your use of your Kroger account. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.

11. Indemnification

You agree to indemnify and hold Grocery Fresh Chef harmless from any claims, losses, or damages arising from your use of the Service or your violation of these Terms.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your account if you violate these Terms or misuse the Service.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles.

15. Additional Terms for Users of Our iOS App

If you downloaded Grocery Fresh Chef through Apple's App Store, the following additional terms apply to your use of the app and are incorporated into these Terms:

Apple is not a party to these Terms and bears no responsibility for the app or its content. These Terms are an agreement between you and Grocery Fresh Chef only, not Apple. We, not Apple, are solely responsible for the app, its content, and providing any maintenance and support for it — Apple has no obligation whatsoever to furnish any maintenance or support services for the app.
Your license to use the iOS app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions — except that the app may also be accessed by other accounts associated with you through Family Sharing or volume purchasing, where Apple makes those available.
We are solely responsible for any product warranties for the app, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our sole responsibility.
We, not Apple, are responsible for addressing any claims you or any third party may have relating to the app or your use of it, including product liability claims, any claim that the app fails to conform to an applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
In the event of any third-party claim that the app, or your possession and use of it, infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
You must comply with any applicable third-party terms of agreement when using the app — for example, your wireless carrier's data service agreement.
Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the app, and Apple has the right to enforce these Terms against you as a third-party beneficiary.
